1. Acceptance of Terms
By installing, accessing, or using CashierLogic ("the Service"), you ("the Merchant") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not install or use the Service.
These Terms constitute a legally binding agreement between you and CashierLogic, operated by CashierLogic ("we", "us", or "our"). Your continued use of the Service following any updates to these Terms constitutes acceptance of those changes.
2. Service Description
CashierLogic is a checkout optimization platform for Shopify merchants operating in India. The Service provides the following capabilities:
- Checkout overlay: A conversion-optimized checkout experience that renders on your Shopify storefront, replacing the default redirect-based checkout flow with an inline, on-page experience.
- Payment processing: Integration with the CyberPay payment gateway to facilitate UPI, card, net banking, and wallet transactions for your customers.
- COD management: Cash-on-delivery order management including OTP verification, COD fees, order limits, and prepaid payment nudges to reduce return-to-origin (RTO) rates.
- Analytics and conversion tracking: A merchant dashboard providing order analytics, conversion funnel data, and payment method breakdowns to help you optimize your store performance.
- Shopper address network: A shared address intelligence layer that enables faster checkout for returning shoppers by auto-filling verified delivery addresses, with address validation via India Post pincode data.
- Free tier: The Service is currently available at no charge. CashierLogic does not create charges through Shopify billing. Should pricing change in the future, merchants will be notified in advance per Section 11.
3. Merchant Responsibilities
As a Merchant using CashierLogic, you agree to:
- Maintain a valid Shopify store: Your Shopify store must remain active and in good standing with Shopify for the duration of your use of CashierLogic.
- Provide accurate business information: All business details, contact information, and tax identifiers (such as GSTIN) provided during onboarding and configuration must be accurate and kept up to date.
- Comply with applicable laws: You must comply with all applicable laws and regulations, including but not limited to the Information Technology Act, 2000, the Consumer Protection Act, 2019, the Legal Metrology Act, 2009, and any applicable tax regulations (GST, TDS/TCS).
- Prohibited products: You must not use the Service to sell illegal goods, counterfeit products, or regulated substances without holding the appropriate licences and permits required under Indian law.
- Product and pricing accuracy: You are solely responsible for ensuring that the products, descriptions, images, and pricing displayed on your Shopify store are accurate and not misleading.
- Customer communication: You are responsible for responding to customer queries, complaints, and order-related issues in a timely manner. CashierLogic does not handle customer service on your behalf.
4. Account & Access
- One account per store: Each Shopify store may have one CashierLogic account. Duplicate accounts for the same store are not permitted.
- Account security: You are responsible for maintaining the confidentiality of your account credentials, including passwords, API keys, and any multi-factor authentication methods. You must notify us immediately if you suspect any unauthorised access to your account.
- Suspension: We reserve the right to suspend or restrict access to your account if we reasonably believe you are in violation of these Terms, if your account is involved in fraudulent activity, or if required by law.
- Team access: CashierLogic supports multi-user access through team memberships with role-based permissions (e.g., Owner, Admin, Staff). The account owner is responsible for managing team member access and ensuring that all users comply with these Terms.
5. Payment Processing
- Facilitation only: CashierLogic facilitates the checkout experience. Actual payment processing, settlement, and fund transfers are handled by CyberPay, the integrated payment gateway.
- Settlement terms: Settlement timelines, payout schedules, and hold policies are governed by the agreement between the Merchant and CyberPay. CashierLogic is not a party to that agreement.
- No fund custody: CashierLogic does not hold, escrow, or otherwise manage merchant funds at any point during the transaction lifecycle.
- Transaction fees: Merchant Discount Rate (MDR) and any other transaction fees are determined by your agreement with CyberPay and/or your acquiring bank. CashierLogic does not set or control these fees.
6. Data Ownership
- Merchant data: You retain full ownership of your store data, product catalogue data, order history, and customer relationships. CashierLogic accesses this data solely to provide the Service and does not claim any ownership rights over it.
- Aggregate analytics: CashierLogic owns aggregate, anonymised, and de-identified analytics data derived from the use of the Service across all merchants. This data does not identify any individual merchant, store, or customer.
- Shopper data: Personal data collected from shoppers during the checkout process (such as name, phone number, email, and delivery address) is a shared responsibility. Both the Merchant and CashierLogic are data processors with respect to this information. For full details on how shopper data is collected, stored, and used, please refer to our Privacy Policy.
- Data deletion on uninstall: When you uninstall CashierLogic from your Shopify store, all merchant-specific data (including configuration, order data synced to our system, and associated analytics) will be deleted within 48 hours, in compliance with Shopify's GDPR and data protection requirements.
7. Intellectual Property
- CashierLogic IP: The CashierLogic checkout overlay, cart drawer, merchant dashboard, APIs, documentation, and all associated software, designs, and algorithms are the intellectual property of CashierLogic. Your use of the Service does not grant you any ownership rights in the platform.
- Merchant IP: Your branding, logos, product images, and other creative assets displayed within the checkout overlay remain your intellectual property. CashierLogic renders your branding as part of the checkout experience but does not claim any rights to it.
- Trademark restrictions: Neither party may use the other party's trademarks, trade names, logos, or branding in marketing materials, press releases, or public communications without prior written consent.
8. Uptime & SLA
- Uptime target: We aim to maintain 99.9% uptime for the CashierLogic service. However, this is a target and not a guarantee. We do not offer financial SLA credits at this time.
- Scheduled maintenance: We will provide advance notice of any scheduled maintenance that may affect service availability, typically via dashboard notifications or email.
- Graceful degradation: CashierLogic is designed so that if the checkout overlay fails to load or encounters an error, your Shopify store's native checkout flow remains fully functional. Your shoppers will always be able to complete purchases even if CashierLogic is temporarily unavailable.
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- Exclusions: CashierLogic is not liable for losses arising from: payment gateway outages or failures at CyberPay or any other third-party provider; changes to the Shopify platform that affect the Service; lost sales, revenue, or business opportunities due to service interruptions; actions or omissions of third-party logistics, shipping, or delivery providers; or any indirect, incidental, special, consequential, or punitive damages.
- Maximum liability: Our total aggregate liability for any claims arising out of or related to these Terms or the Service shall not exceed the total fees paid by you to CashierLogic in the twelve (12) months preceding the event giving rise to the claim. For merchants on the free tier, this amount is zero.
- Tax obligations: CashierLogic is not responsible for determining, collecting, or remitting your tax obligations, including GST, income tax, TDS, or TCS. You are solely responsible for your tax compliance.
10. Termination
- Merchant-initiated: You may terminate your use of CashierLogic at any time by uninstalling the app from your Shopify admin panel. No notice period is required.
- CashierLogic-initiated: We may terminate or suspend your account for violations of these Terms, including but not limited to selling prohibited products, engaging in fraudulent activity, or causing harm to the platform or other users. Where practicable, we will provide notice before termination.
- Effect of termination: Upon termination, all merchant-specific data will be deleted in accordance with our Privacy Policy and Shopify's data protection requirements. The CashierLogic ScriptTag will be automatically removed from your Shopify storefront, restoring your store to its default checkout behaviour.
11. Modifications to Service
- Feature changes: We may add, modify, or discontinue features of the Service at any time as part of ongoing product development.
- Material changes: For changes that materially affect how you use the Service (such as the introduction of fees, changes to data handling, or removal of core features), we will provide notice via dashboard notifications and/or email to the address associated with your account.
- Continued use: Your continued use of the Service after any modifications constitutes your acceptance of those modifications. If you do not agree with a change, you may uninstall the Service at any time per Section 10.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by binding arbitration administered in Bangalore, India, in accordance with the Arbitration and Conciliation Act, 1996. The language of arbitration shall be English. The award rendered by the arbitrator shall be final and binding upon both parties.
